1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Tensor One (“Company,” “we,” “us,” or “our”), governing your access to and use of the Tensor One platform (the “Platform”) including all related services, websites, applications, dApps, and associated channels. By accessing the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you are prohibited from using the Platform and must discontinue use immediately. We reserve the right to modify these Terms at any time. Material changes will be communicated through the Platform, but you remain responsible for reviewing these Terms periodically.

2. Eligibility and Account Registration

Age and Capacity: You must be at least 18 years old or the age of majority in your jurisdiction to use the Platform. You represent that you have the legal capacity to enter into this agreement. Entity Representation: If using the Platform on behalf of an organization, you represent that you have authority to bind that entity to these Terms. Account Security: You are responsible for maintaining the confidentiality of your account credentials and all activities under your account. We may suspend or terminate accounts that violate these Terms.

3. Platform Services

Tensor One provides a comprehensive AI infrastructure platform with tokenized access, including: Core Services:
  • GPU Compute Network: Access to distributed GPU resources (RTX 4090, A100, H100, etc.)
  • Tensor Playground: No-code AI tools including voice cloning, image generation, video generation, and conversational AI
  • Agent Builder: No-code platform for creating and deploying autonomous AI agents
  • Model Context Protocol (MCP): Standardized communication protocols for AI systems
  • TrainOps: In-house model optimization and training services
  • Compute Contribution: Chrome extension enabling users to contribute GPU power to the network
Additional Features:
  • Multi-agent coordination systems
  • Serverless endpoint deployment
  • Custom template and cluster management
  • API access and SDK integration

4. Token Economy and Payments

**TPOToken∗∗:ThePlatformoperatesontheTPO Token**: The Platform operates on the TPO utility token (ERC-20 standard) for accessing services and network participation. Payment Methods: Services may be paid for using $TPO tokens, cryptocurrency (via Coinbase Commerce), or other approved payment methods. Revenue Distribution: Platform fees are distributed according to our published tokenomics:
  • AI Tools: 10% operations, 90% staking pool
  • Agent Marketplace: 10% operations, 10% staking pool
  • Institutional Services: 80% compute providers, 10% staking, 10% operations
Transaction Finality: All transactions are final and non-refundable unless explicitly stated otherwise or required by applicable law.

5. Compute Network Participation

GPU Contribution: Users may contribute computing power through our Chrome extension and earn $TPO rewards. Compute Provider Responsibilities:
  • Maintain stable internet connection and hardware
  • Allow reasonable access to contributed resources
  • Comply with network performance and availability requirements
Network Usage: You acknowledge that:
  • Compute resources are shared and performance may vary
  • We cannot guarantee uninterrupted service availability
  • Network maintenance may temporarily affect service

6. AI Agent Creation and Deployment

Agent Builder Platform: Users may create, customize, and deploy AI agents using our no-code interface. Agent Monetization: Creators may monetize their agents through usage fees or subscriptions paid in $TPO tokens. Agent Behavior: Users are responsible for:
  • Configuring appropriate behavioral parameters
  • Ensuring agents comply with ethical AI standards
  • Monitoring agent performance and interactions

7. User-Generated Content and Contributions

Content License: By uploading content, models, templates, or agents to the Platform, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute your contributions for Platform operations. Content Responsibility: You represent that your contributions:
  • Do not violate intellectual property rights
  • Comply with applicable laws and regulations
  • Meet our community standards and ethical guidelines
Marketplace Contributions: Content shared in our marketplace may be subject to additional terms and revenue sharing agreements.

8. Prohibited Activities

You agree not to: Technical Violations:
  • Circumvent security measures or attempt unauthorized access
  • Engage in network attacks, data scraping, or reverse engineering
  • Upload malicious software or code
  • Exploit vulnerabilities in the Platform
Content Violations:
  • Generate illegal, harmful, or malicious content
  • Create content promoting violence, hate speech, or illegal activities
  • Violate intellectual property rights
  • Share explicit adult content through AI tools
Economic Violations:
  • Manipulate token prices or engage in market manipulation
  • Create fake accounts to exploit reward systems
  • Engage in fraudulent transactions or payment schemes
AI Ethics Violations:
  • Use AI tools for deceptive or harmful purposes
  • Create deepfakes or misleading synthetic media without disclosure
  • Deploy agents designed to cause harm or spread misinformation

9. Intellectual Property Rights

Platform IP: All Platform software, code, algorithms, and proprietary technology remain our exclusive property or that of our licensors. User License: You receive a limited, non-transferable license to use the Platform for personal and commercial purposes as permitted. Model and Data Rights: Rights to AI models, training data, and generated outputs are governed by specific licensing terms for each service.

10. Privacy and Data Protection

Your use of the Platform is governed by our Privacy Policy, which details data collection, use, and protection practices. By using the Platform, you consent to these practices and any necessary data processing for Platform operations. AI Training Data: Generated content may be used to improve our AI models unless you opt out through Platform settings.

11. Regulatory Compliance

Cryptocurrency Compliance: You are responsible for complying with all applicable laws regarding cryptocurrency transactions and token holdings in your jurisdiction. AI Regulations: You must comply with all applicable AI and machine learning regulations in your jurisdiction when using Platform services. Export Controls: Use of the Platform must comply with applicable export control and sanctions laws.

12. Service Availability and Maintenance

Uptime: While we strive for high availability, we do not guarantee uninterrupted service and may perform maintenance as needed. Service Changes: We reserve the right to modify, suspend, or discontinue services with reasonable notice when possible. Beta Features: Some Platform features may be in beta or experimental stages, with limited functionality and support.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TENSOR ONE AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE PLATFORM. Cryptocurrency Risks: You acknowledge the inherent risks of cryptocurrency transactions and token holdings, including price volatility and potential total loss. AI Output Risks: We are not responsible for the accuracy, reliability, or consequences of AI-generated content or agent actions.

14. Indemnification

You agree to indemnify and hold harmless Tensor One from any claims, damages, or expenses arising from:
  • Your use of the Platform
  • Your violation of these Terms
  • Your violation of applicable laws
  • Content or agents you create or deploy

15. Dispute Resolution

Governing Law: These Terms are governed by the laws of [Jurisdiction]. Arbitration: Disputes will be resolved through binding arbitration rather than court proceedings, except where prohibited by law. Class Action Waiver: You waive the right to participate in class action lawsuits against Tensor One.

16. Termination
